Terms of Service

1. Agreement to Terms

By engaging Michael Oldes ("I", "me", or "my") for web development services, you (the "Client") agree to be bound by these Terms of Service. These terms apply to all services provided, including but not limited to landing pages, full websites, and maintenance services.

2. Services

I will provide the web development services as described in our agreed-upon project scope or proposal. Services generally include design, development, and implementation of a website as specified.

• Changes to Scope: Any changes to the project scope must be submitted in writing and may be subject to additional fees and revised timelines.
• Client Responsibilities: The Client agrees to provide all necessary content (text, images, branding materials) and feedback in a timely manner. Delays in providing these materials may result in project delays.

3. Payments and Fees

• Project Pricing: Prices for services will be as quoted in the project proposal.
• Payment Schedule: For landing page and full website projects, a non-refundable down payment of 50% of the total project cost is required before any work begins. The remaining 50% is due upon completion of the project and before the final website is launched or transferred to the Client.
• Maintenance Services: Maintenance plans are billed monthly, as described in the service agreement.

4. Intellectual Property Rights

Upon receipt of the final payment, I grant the Client an exclusive, perpetual, and worldwide license to use, display, and publish the final website.

• Client Content: The Client represents that they have the legal right to use all content provided to me, including text, images, and other media, and will indemnify me from any claim or suit arising from the use of such content.
• My Property: I retain the right to use the completed project and any preliminary designs for the purpose of my own portfolio, marketing, and promotional materials.

5. Confidentiality

I will not disclose any of the Client's confidential information to any third party. Likewise, the Client agrees not to disclose any of my confidential information (such as proprietary processes or tools) to any third party.

6. Termination

Either party may terminate the service agreement if the other party commits a material breach of these terms and fails to remedy it within 14 days of written notice. Upon termination, the Client is responsible for paying for all work completed up to the date of termination.

7. Limitation of Liability

My liability to the Client for any and all claims, losses, or damages arising out of or relating to this agreement and the services provided is limited to the total amount of fees paid by the Client for the services. I am not liable for any lost profits or consequential damages.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law principles.

9. Changes to These Terms

I reserve the right to modify these terms at any time. Any changes will be posted on this page. Your continued use of my services after such changes constitutes your acceptance of the new terms.
